General Terms of Trading
TERMS OF TRADING
The terms below apply to all transactions either by account holders or over the counter sales
1. Prices quoted, whether verbally or in writing, unless indicated otherwise will apply for a period of 28 days only, after which Kent Wool Growers (“KWG”) reserve the right to review the same. In respect of fuel oil and fertiliser, prices quoted are for day of quote only. 2. Unless indicated otherwise VAT will be added at the relevant rate prevailing to all prices quoted. 3. (ai) Payment for all goods supplied, except fuel oil and fertiliser, is to be made, net of credit charges, by cash, cheque or by Direct Debit arrangement, to be received at this office on or before the 24th day of the calendar month following the calendar month in which the goods are delivered or collected by the buyer (the “due payment date”). (aii) In the event of delay in payment beyond the due payment date, the full invoice value, including credit charges, shall apply and KWG reserve the right to recover same from the buyer, and in the event of process to recover, such statutory interest calculated upon the full price as they are entitled. (bi) Payment for all fuel oil and fertiliser is to be made in full, by Direct Debit against the customers bank account, on the 15th day of the calendar month following the calendar month of the invoice date or delivery date, whichever is the later (the “due payment date”) (bii) In the event of delay in payment, of fuel oil and fertiliser invoices, beyond the due payment date, the full invoice value, including credit charges, shall apply and KWG reserve the right to recover same from the buyer, and in the event of process to recover, such statutory interest calculated upon the full price as they are entitled. 4. (a) As to customer sales, such statutory conditions and only such statutory conditions as are currently in force as to the condition and quality of goods sold shall apply. (b) As to other sales (i) KWG warrant that the goods are of merchantable quality and fit for the buyers purpose where such purpose is indicated by the buyer at the time of purchase, but KWG offer no other warranty or accept any other term or condition relating to the quality state or condition of the goods unless otherwise specifically agreed. (ii) In any event KWG accept no liability beyond the amount of the price of the goods and shall not under any circumstances be liable for consequential losses. 5. KWG have no obligation to accept the return of goods or to exchange goods sold or delivered. 6. Whilst every effort will be made to supply goods ordered and without undue delay, time is not of the essence in the Contract and KWG will not be liable for any loss or damage howsoever arising as a result of delay in the supply of goods ordered or, in the event of the goods being unavailable, from KWG’s inability to supply the same in accordance with the order. 7. (a) Risk in the goods passes to the buyer on delivery. (b) Property in the goods passes only upon payment in full therefore, KWG may at any time in the event of non-payment on the due payment date, by its servants or agents enter upon the purchases premises for the purposes of recovering the same.
